Consultant Agreement. 2007
All Athena’s Delight Consultants are independent contractors
and are not employees of The JAD Company. As an independent representative
I understand that I am not an employee of The JAD
Company and that I am provided with no guarantee of income or
wages. Any income derived from my association with The JAD Company
will be based solely upon my own efforts to sell
and market Athena’s Delight products to customers.
Only authorised Athena’s Delight consultants may sell branded
Athena’s Delight products. A branded Athena’s Delight
product is one that carries labeling or packaging clearly displaying
the
name and/or logo of Athena’s Delight. I agree to be responsible
for collection and payment of all applicable Provincial and Federal
taxes. This includes relevant sales tax and personal or corporate
income tax. I agree to comply with all Provincial, Federal and
local rules and regulations pertaining to independent representatives.
As an Independent Consultant, I understand that it is my responsibility
to comply with all local, Provincial and Federal laws pertaining
to operating a business venture. I agree to promote and sell
Athena’s Delight products in a manner I see fit and am personally
comfortable with. I may sell through the holding of home parties,
through community events, catalogue shows, through the Internet
and personal sales. I may not however sell on online auction
sites or to conventional retail outlets in a manner in which
I may be considered acting as a wholesale supplier. I understand
that I can sell other companies’ products side by side with
the Athena’s Delight line
but I also understand that I cannot purchase Athena’s Delight
branded products and sell them under another name. For example
ABC Company may be considered as the company owned by a consultant
and within the context of a sales company Athena’s Delight
products can be sold. Athena’s Delight products cannot be
repackaged and labeled as ABC Company products and then sold
by the ABC Company. I understand that I cannot sell or distribute
Athena’s Delight Consultants’ personal information
to other direct sellers, persons or companies. Doing so will
result in immediate termination of the agreement between myself
and Athena’s Delight as representing The JAD Company. I
understand that under no circumstances am I to divulge any information
pertaining to the officers of The JAD Company, its suppliers,
operating methods or business practices to any direct or indirect
competitor. All information given to Consultants by any of the
officers of The JAD Company by mail, email or by fax and telephone
is to be considered proprietary and privileged information. Should
I at any time choose to cease being an Athena’s Delight
consultant or if my agreement to act as a Consultant is canceled
by The JAD Company, I acknowledge that the injunction against
revealing privileged and proprietary information to others is
to be in force for a further two years.
If I choose to leave Athena’s Delight, I understand that
all pending orders will be canceled and refunded minus a 15%
cancellation fee. I understand if I cancel a pending order, this
will also result in a 15% restocking fee. Orders canceled after
they have been shipped cannot be returned. Returns are only accepted
in the case of damage caused as a result of packaging by Athena’s
Delight shipping department.
I agree to abide by the policies of The JAD Company as represented
by Athena’s Delight. Any misrepresentation of Athena’s
Delight products or services is subject to immediate termination
of
this agreement and of my relationship with The JAD Company and
the Athena’s Delight name. The JAD Company may approve or
reject this application at its sole discretion and for any reason
in accordance with The JAD Company’s policies and procedures
now or in the future. The JAD Company reserves the right to terminate
a consultants relationship with Athena’s Delight if it has
been determined that the Consultant has acted in a manner contradictory
to the policies of The
JAD Company. The Consultant also agrees to indemnify and hold
The JAD Company harmless against any claims, costs, damages,
losses, liabilities or expenses (including lawyer fees) arising
from or
connected with, directly or indirectly, the Consultant’s
breach of this Agreement or other conduct by the Consultant.
The Consultant acknowledges that if he or she breaches this Agreement,
the
JAD Company shall have the right to terminate the Consultant’s
position and shall be entitled to damages and injunctive relief
prohibiting any further violation of this Agreement. I may cancel
this agreement within 10 working days of the date it was initially
agreed to. If my Consultant Kit has not been shipped, it will
not be sent for delivery to me. In cases where the Consultant
Kit has been shipped, it may be returned to The JAD Company if
in perfect condition.
The Consultant is responsible for shipping fees. Any items used
will be billed at full retail price. I hereby acknowledge that
I have read this agreement and that I understand there is no
requirement beyond the signing of this application and the purchase
of the Athena’s Delight Consultant Kit to become and Athena’s
Delight Consultant and that any purchase of product inventory,
sales aids, literature etc is strictly voluntary. To indicate
your acceptance of this agreement and to become an Athena’s
Delight Consultant, please send an email to info@athenasdelight.com
stating you have read the agreement and agree to its terms. Please
also include your full name and address.
Once this has been received, we will send you a Paypal invoice
for your Consulant Kit. The kit is $29.99 plus $8 shipping. It
will include everything you need to begin your Athena’s
Delight business such as samples of our coffees, hot chocolates,
order forms, business cards, promotional bookmarks and Athena’s
Delight menus for you to show prospective customers. Thank you
for your interest in Athena’s Delight. We hope that this
becomes the beginning of a long lasting and rewarding relationship.
